Terms of Service

Acceptance

These Terms of Service govern access to and use of OpsDesk, a configurable software platform for business operations. By accessing or using OpsDesk, you agree to these Terms. If you use OpsDesk for an organization, you represent that you are authorized to accept these Terms on its behalf.

Accounts and access

You are responsible for accurate account information, safeguarding credentials, and activity conducted through your account. Customer administrators are responsible for assigning users and reviewing access, roles, configurations, and permissions.

Permitted use

You may use OpsDesk for lawful internal business operations and in accordance with these Terms. You may not misuse the service, interfere with its operation, attempt unauthorized access, upload malicious code, or use the service in a way that violates law or third-party rights.

Customer data

You retain responsibility for data submitted to or managed through OpsDesk, including transportation, dispatch, inventory, purchasing, accounts payable, customer, vendor, document, workflow, and reporting data. You represent that you have the rights and permissions necessary for that data and for your instructions concerning its processing.

Configuration

OpsDesk may be configured to reflect customer terminology, fields, approvals, dashboards, workflows, and integrations. You are responsible for reviewing configurations, permissions, records, and outputs for accuracy and suitability for your operations.

Intellectual property

OpsDesk, its software, interfaces, documentation, and related materials are owned by the applicable service provider or its licensors. Subject to these Terms, you receive a limited, non-exclusive, non-transferable right to use the service during the applicable access period.

Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the applicable business relationship, subject to customary exclusions for information that is public, independently developed, already known, or lawfully received from another source.

Payments and commercial terms

Where paid access applies, pricing, taxes, billing intervals, seats, renewals, refunds, and other commercial terms will be stated in an applicable order, subscription, or written agreement. No payment obligation is created unless separately agreed or presented through an applicable commercial process.

Third-party services

OpsDesk may connect with third-party services selected or authorized by you. Your use of those services may be governed by separate third-party terms. Availability and operation of third-party services are outside the service provider's control.

Suspension and termination

Access may be suspended or terminated for violation of these Terms, nonpayment where applicable, security or legal risk, or expiration of the applicable access period. Any notice, cure, export, deletion, and post-termination handling terms will be governed by the applicable agreement and law.

Disclaimers

To the fullest extent permitted by law, OpsDesk is provided on an as-is and as-available basis. The service provider does not promise that the service will be uninterrupted, error-free, or suitable for every purpose. Users remain responsible for operational decisions and review of service outputs.

Limitation of liability

To the fullest extent permitted by law, the service provider will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from or related to the service. Any applicable liability cap and exceptions will be determined by the applicable written agreement and law.

Indemnity

To the extent provided by an applicable agreement or law, you may be responsible for claims arising from your data, use of the service, violation of these Terms, or infringement of another party's rights. Any indemnity procedures and limitations will be governed by the applicable agreement.

Governing law

These Terms are governed by the law applicable to the service provider and the applicable customer relationship, without limiting mandatory rights under applicable law.

Changes

These Terms may be updated from time to time. Updated terms will be posted with a revised effective date. Continued use of OpsDesk after an update takes effect constitutes acceptance of the updated Terms to the extent permitted by law.
